1. Who provides the service

These terms govern the purchase and use of Ekuantum's services: the client dashboard, the AI agents (Kira, KOR, Kiro) and the modules contracted with them. Use of the website is also governed by the legal notice.

2. What you are buying

The service is a subscription. It consists of a base service plus modules you can turn on and off (WhatsApp, voice, email, Instagram, LinkedIn, campaigns, CRM and others). What you have contracted at any time, its price and its payment terms are those set out in your accepted quote or contract, which prevails over this page if the two disagree.

Some items are charged once (set-up, training the agent, bespoke development) and others are recurring. Prices are stated excluding VAT.

3. Term, renewal and cancellation

No minimum term. The subscription runs in billing cycles and renews automatically at the end of each one until you cancel. We do not require a minimum number of months.

Notice: 10 days before the next billing cycle. If you cancel with less than 10 days to go, the cancellation takes effect at the end of the following cycle, which is billed as normal.

You can cancel by writing to info@ekuantum.com or through any of the channels on the support page. Cancelling stops the service and future charges; by itself it does not entitle you to a refund of periods already used or of one-off payments already made.

Exception: some services are sold with an agreed minimum term — this is the case for the package sold in Thailand, with a 12-month commitment. Where that applies it is stated in your quote or contract, which prevails over this section.

4. Your customers' data is yours

When you use Ekuantum you enter or generate personal data belonging to your customers and contacts. For that data you are the controller and Ekuantum is the processor: we process it only on your instructions and to provide the service to you.

The terms of that processing — purposes, security measures, sub-processors, return and deletion on termination — are not set out here but in the data processing agreement (DPA), signed separately and forming part of the contract. Ask for a copy at info@ekuantum.com.

How we handle the data of people who visit this website or write to us on our public channels is described in the privacy policy.

5. What happens to your data if you leave

As a general rule, data is kept for as long as there is a commercial relationship or until you ask us to delete it, on the same terms as the privacy policy. After cancelling you may ask us for an export of your data and for its deletion.

Data we are legally required to keep — accounting and tax records in particular — is retained for as long as that obligation requires, even if you request deletion.

6. Features that use your own AI key

Certain features, including AI-generated landing pages, run on the client's own AI API key, not on an Ekuantum key. In those cases:

The same applies to costs charged directly by third parties for the use of their channels, such as the WhatsApp messages billed by Meta.

7. The agent proposes; you approve

Ekuantum's agents prepare actions — messages, campaigns, posts, appointments — and, for actions that go out in your name, execution requires your approval. Ekuantum does not send communications on your behalf without it, other than through automations you have configured and switched on yourself.

You are responsible for the content you approve and for making sure what you send complies with applicable law, in particular data protection and commercial communications rules: consent, sender identification and handling opt-outs.

8. Acceptable use

The service may not be used to send unsolicited communications to people who have not consented, for unlawful or misleading content, or to impersonate people or organisations. Nor may special categories of personal data (health, beliefs, biometrics and the like) be entered into the system without telling us first and covering it in the DPA.

Breaching this may lead to suspension of the service.

9. Availability and support

We work to keep the service running continuously, but no uptime percentage is committed unless agreed in writing in your contract. Interruptions can happen because of maintenance, our own incidents, or outages at third-party services the product depends on (AI providers, WhatsApp, LINE, telephony, CRM or hosting).

10. Liability

Ekuantum is liable for damage caused by breach of these terms in accordance with applicable law. It is not liable for damage arising from the client's use of the service, from content the client approves, from third-party outages, or from data loss attributable to the client.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for wilful misconduct or gross negligence.

11. Intellectual property

The dashboard, the agents, the prompts, the code and Ekuantum's documentation belong to Emporio Kuantum OÜ or its licensors. Subscribing gives you a right to use them while the service is live, not ownership of them.

What you bring stays yours: your copy, your brand, your files and your customers' data. You authorise us to use them only to provide the service.

12. Changes to these terms

We may change these terms to reflect changes in the service or in the law. Material changes are announced with reasonable notice by email or in the dashboard. If you do not accept them, you may cancel under section 3.

13. Governing law

These terms are governed by Estonian law and applicable European regulation. For any dispute the parties submit to the courts having jurisdiction under the rules in force, without prejudice to any rights a consumer client may have.
